 Integrity Operation

Our Company engages in business activities based on the principles of fairness, honesty, trustworthiness and transparency. In order to implement the policy of Integrity and ethical operation and to actively prevent dishonest practices, the Company has established this Code of Conduct in accordance with the "Ethical Corporate Management Best Practice Principles for TWSE/GTSM Listed Companies" and relevant laws and regulations governing the operations of the Company and the Group's businesses and organizations, to specifically regulate the matters that company personnel should pay attention to when performing business.

This Code applies to group companies and organizations (hereinafter referred to as "group companies and organizations") that are subsidiaries of the Company, consortium companies that directly or indirectly contribute more than 50% of funds, and other institutions or legal entities with substantial control./p>

The Company's President's Office is a dedicated unit to promote corporate integrity management, and at least once a year, the Company conducts education and training for current directors, managers and employees on "Integrity Operation", "Regulations for Prevention of Insider Trading" and related laws and regulations. In Nov 2020, we conducted education and training for our directors, managers and employees, and the course content included the promotion of the policy of Integrity operation, interest avoidance, confidentiality of material information, the causes of insider trading, the identification process and examples of transactions, and explanation of the prosecution and complaint system. The course presentation is posted on the intranet for reference of those who did not attend on that day. As of 2020, there has been no breach of integrity regulations to date.

Whistleblower System

The Company has a "Whistleblower System" that provides an independent reporting channel for complaints and reports by phone, mail, or email when a violation of the integrity regulations is discovered by our employee.

The responsible unit is obliged to keep the whistleblowers confidential, and all reported cases are handled in confidential documents, and appropriate protective measures are taken to ensure the privacy of whistleblowers so that they are not subject to unfair treatment or retaliation.

If the reported case is verified to be true, the responsible unit will report it to the chairman of the board and give the whistleblower appropriate rewards. Violators will be punished according to the company’s rewards and punishments based on the circumstances of the case. In case of major incidents or illegal cases, we will report to the competent authorities or refer to the judicial authorities for investigation when necessary.
